01Introduction

These Terms & Conditions (“Terms”) govern the use of A2Aflow (the “Service”), including the website, the embeddable script and the AI agent, operated by DS Ai Labs LLC (“Company”, “we”, “us”, or “our”).

By accessing or using the Service, you agree to be bound by these Terms. If you use the Service on behalf of a company, you confirm you have authority to bind it.

02Description of Service

A2Aflow is an AI sales agent that you embed on your website. It:

• answers visitors’ technical questions based on your own pages, product data and downloads
• qualifies visitors by collecting their contact details and project specifications
• passes qualified enquiries (“Leads”) to your team
• communicates with visitors in their language
• communicates with third-party AI agents acting on behalf of buyers
• connects to the FlowMarket network for lead sourcing, lead pooling and routing, and supplier discovery

We may update, modify or discontinue features at any time.

03Eligibility

You must be at least 18 years old, have the legal capacity to enter into agreements, and use the Service for business purposes.

04Accounts

• You are responsible for keeping your account credentials confidential.
• You agree to provide accurate and up-to-date information.
• You are responsible for all activity under your account.

We may suspend or terminate accounts at our discretion.

05Your Website and Content

• You are responsible for installing the script and may only embed it on websites you own or are authorised to operate.
• You authorise us to read, process and keep in sync the pages, product data and documents on your website so the agent can answer from them.
• The agent’s answers depend on your content. You are responsible for keeping it accurate and up to date.
• You can review conversations and adjust the agent’s settings at any time.

06Free Week

New customers get a free trial week with the full feature set. Leads generated during the free week are yours to keep and are not charged. After the free week, the fees in Section 7 apply.

07Fees and Payment

• There is no licence fee, seat fee, setup fee or commission. You pay USD 25 per Qualified Lead. The rate is the same for all customers, with no tiers or minimum volume.
• A Lead is “qualified” when the agent has captured the visitor’s contact details and the specification your team needs to prepare a quote, according to the criteria set in your account.
• Conversations that do not produce a Qualified Lead are not charged.
• Duplicate leads, invalid contact details and leads generated through your own testing are not charged. Report any disputed lead within 14 days of the invoice.
• We invoice monthly in arrears, and invoices are due within 14 days. Taxes, if any, are your responsibility.
• We may change prices for future Leads with 30 days’ notice.
• Fees are non-refundable unless required by law.
• We do not guarantee any number of leads, orders, revenue or other business results.

08Acceptable Use

You agree not to:

• use the Service for illegal, fraudulent or misleading purposes
• set up the agent to make false or misleading statements about your business
• create fake enquiries or otherwise manipulate Lead counts
• send spam or abusive content through the Service
• reverse engineer, overload or exploit the Service, or interfere with other users

We may remove content or restrict access if these rules are violated.

09AI Agent and Content Responsibility

• The Service uses AI. We do not guarantee the accuracy, reliability or legality of its outputs.
• The agent’s answers are informational and non-binding. You are responsible for checking each Lead before you issue a quote or enter into a contract.
• You are responsible for the behaviour of your agent and for ensuring it complies with applicable laws, including any requirement to tell visitors they are talking to an AI.
• We are not responsible for third-party AI agents, their statements, or whether you are shortlisted or chosen by any buyer.

10FlowMarket Network

By using the network features, you agree that:

• enquiries you cannot serve may be routed to another network company that can
• enquiries from other companies’ websites may be routed to you
• basic company information (such as your capabilities and contact details) may be shared with other network participants for matching

We are not a party to any agreement between you and other network participants or buyers, and we do not guarantee that routed enquiries will lead to business. You can opt out of lead routing in your account settings.

11Privacy

We process personal data as described in our Privacy Policy. You are responsible for informing visitors on your website about the use of the chat agent and the collection of their data, as required by applicable law.

12Intellectual Property

The Service and its technology are owned by DS Ai Labs LLC. You retain ownership of your content and of the Leads delivered to you.

You grant us a non-exclusive license to host, display, process and distribute your content as needed to operate the Service.

13Third-Party Services

The Service may integrate with third-party tools, AI models or APIs. We are not responsible for third-party services, their data handling, or their outages or failures.

14Disclaimer

The Service is provided “as is” without warranties of any kind. We do not guarantee uninterrupted service, the accuracy of AI outputs, or business results such as leads or revenue.

15Limitation of Liability

To the maximum extent permitted by law:

• we are not liable for indirect, incidental or consequential damages, or for loss of profit or revenue
• our total liability is limited to the fees you paid in the 12 months before the claim arose

You are responsible for your website content and for your business decisions based on Leads.

16Termination

You may stop using the Service at any time by removing the script from your website and closing your account. Fees for Qualified Leads generated up to that point remain payable.

We may suspend or terminate your access for violations of these Terms, non-payment, legal reasons, or at our discretion.

17Changes to Terms

We may update these Terms at any time. Continued use of the Service constitutes acceptance of the updated Terms.

18Governing Law

These Terms shall be governed by applicable laws, without regard to conflict of law principles.
